The services that Kirsten Lee Hill Consulting, LLC (hereinafter “KLHC”, “we,” “our”, and “us”) provides to you are subject to the terms and conditions set forth herein (“Terms and Conditions”), govern your scheduling and participation in consulting services provided by KLHC through our website located at https://paperbell.me/kirstenleehill (including any sub-domains of this website and/or mobile versions) provided by KLHC through the use of the Paperbell  platform provided by Paperbell (collectively, the “Coaching Platform”), and all Packages, materials, content or other offerings made available by KLHC through the Coaching Platform (collectively, the “Services”). 

For the avoidance of doubt, if you decide to purchase a package offered through the Coaching Platform, this Terms and Conditions shall govern the provision of the package or consulting services you elect to purchase (“Package” or “Packages”) and your use of any Package materials and information in addition to your use of the Coaching Platform. Please read this Terms and Conditions carefully before using the Services and/or purchasing a Package.  You are not allowed to purchase a Package or otherwise use the Services if you do not agree to the terms and conditions set forth in this Terms and Conditions.  

In this Terms and Conditions, “you” and “your” refers to users of the Services who are at least eighteen (18) years of age. By using the Coaching Platform, purchasing a Package, registering for an account, or using the Services, you represent and warrant that you are at least eighteen (18) years of age and will use and access the Services in accordance with this Terms and Conditions. No one under the age of eighteen (18) years of age may use the Services or provide any information on the Services or to us.  

In order to use the Services, you must accept this Terms and Conditions which is available on the Coaching Platform and are presented to you prior to purchasing a Package.

By using the Services, exercising any of the rights granted to you in this Terms and Conditions, and/or or by clicking to accept or agree to the Terms and Conditions when this option is made available to you (for example upon Package purchase), you accept and agree to be bound and abide by these Terms and Conditions. If you do not agree to this Terms and Conditions, you must not access or use the Services. If you do not accept this Terms and Conditions, now or in the future, please stop your use of the Services immediately, in which case any continuing access and/or use of the Services is unauthorized.

3.1 Scheduling: To schedule a Question Makeover or consulting session, you must complete the booking form on our Paperbell website and provide accurate and complete information. You will receive a confirmation email once your booking is accepted.

3.2 Payment: In consideration for KLHC’s provision of the Services you agree to pay KLHC the total fee reflected in the description of the Package when you purchase the Package (“Consulting Fee”). You must either pay the Consulting Fee upfront and/or in monthly installments depending on the payment option you select upon purchase. The Consulting Fee may vary based on the payment option you select and will be listed on the Services prior to purchase. If you select to pay the Consulting Fee as a single upfront payment, the total Consulting Fee shall be due and payable upon Package purchase. You may be eligible for a payment plan through Klarna or Afterpay/Clear in accordance with their policies. If you select a payment plan option, you agree to pay the total Package Fee regardless of attendance and/or participation. We reserve the right to update our pricing. Changes in price will not affect any Packages that you have already purchased. All fees paid are nonrefundable. 

Authorization to Charge for Services. You must either use a credit card, debit card or other payment method accepted by us to enroll in a Course. YOU AUTHORIZE KLHC TO CHARGE YOU THROUGH THE PAYMENT METHOD YOU PROVIDE WHEN PURCHASING A COURSE.  If the payment method you provide is declined, you agree to pay all amounts due hereunder upon our demand and will be solely responsible for any dispute with your payment method provider. You will not be charged more than the amount for which you purchased your Course. If you believe that we have charged you an incorrect amount, please contact us at [email protected] as soon as reasonably possible to let us know.

Payment Processing. KLHC uses a third-party payment platform to process payments. Your credit card information or other payment method will be processed and stored by our third-party payment processor, which is currently ‘Stripe’, but may be changed from time to time. You expressly understand and agree that all payments and monetary transactions are handled by such third-party and the use of such platform is governed by the third-party’s terms and conditions and KLHC shall have no liability related thereto.  You authorize KLHC to automatically charge the payment account for the fees due and owing hereunder. If your payment account on file is closed or the account information is changed, or if, for any reason, a charge is rejected by your payment account, you shall immediately update your payment account or supply a new payment account, as appropriate.  If you are unable to update the payment account with appropriate information and you owe fees, then KLHC will suspend access to the Services, including any current and/or future Packages, without liability, until valid payment account information is provided.  If KLHC believes that you have participated in a fraudulent chargeback, KLHC will pursue its claims against you to the fullest extent allowed by law.

Taxes, Right to Suspend. All fees are stated in United States Dollars and must be paid in United States Dollars.  All fees due and payable under this Terms and Conditions are exclusive of taxes, which will be added at the prevailing rate from time to time.  All fees due and payable by you to KLHC hereunder must be paid in full without any deduction, set-off, counterclaim or withholding of any kind unless required by law. Except as expressly provided herein, the fees due hereunder are non-refundable except as determined by KLHC in its sole and absolute discretion. In the event that fees are not paid in accordance with the terms and conditions set forth herein, KLHC may immediately suspend Services without liability. You are responsible for all costs of collection, including without limitation reasonable attorneys' fees, for any payment default.

If you need to reschedule a consulting session, please use your appointment link or contact us at [email protected] at least 48 hours in advance. We will do our best to accommodate your request. In the unlikely event that we need to cancel or reschedule your session, we will provide as much notice as possible and offer you the option to reschedule or receive a full refund.

During your access to and/or use of the Services, you may have access to certain information of KLHC that is not generally known to others including any and all information relating to KLHC and its business including without limitation its business, legal, and operational practices, financial, technical, design, performance characteristics, commercial, marketing, competitive advantage or other information concerning the business and affairs, partnerships and potential partnerships, business model, fee structures, employees, funding opportunities, metrics, object code, source code, architecture, algorithms, techniques, formulas, processes, know-how, systems, ideas, inventions (whether or not patentable or copyrighted), KLHC Materials, feedback, procedures and techniques that have been or may hereafter be provided or shown to you, regardless of the form of the communication (collectively, the "Confidential Information"). You agree to use best efforts to protect and prevent any access to the Confidential Information, using no less than a reasonable degree of care to protect such Confidential Information. KLHC shall not be subject to any obligations of confidentiality regarding any information and/or materials submitted in connection with and/or through the Services except as otherwise expressly specified in this Terms and Conditions and/or as otherwise required by law. 

YOUR USE OF THE SERVICES AND CONTENT IS AT YOUR OWN RISK.  IN NO EVENT SHALL KLHC, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, LICENSORS, AND/OR SUPPLIERS BE LIABLE TO YOU AND/OR ANYONE ELSE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL AND/OR PUNITIVE DAMAGES WHATSOEVER, INCLUDING THOSE RESULTING FROM LOSS OF USE, DATA AND/OR PROFITS, WHETHER OR NOT FORESEEABLE, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), WARRANTY, STRICT LIABILITY, AND/OR ANY OTHER LEGAL OR EQUITABLE THEORY, EVEN IF KLHC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES IN ADVANCE.  THE FOREGOING SHALL APPLY DESPITE ANY NEGLIGENCE, MISCONDUCT, ERRORS AND/OR OMISSIONS BY KLHC, ITS EMPLOYEES, REPRESENTATIVES AND/OR AGENTS.  BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION AND/OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL AND/OR INCIDENTAL DAMAGES, IN SUCH STATES, KLHC’S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

EXCEPT AS OTHERWISE EXPRESSLY SET FORTH HEREIN, IN THE EVENT YOU ARE DISSATISFIED WITH THE SERVICES, RELATED SERVICES AND/OR HAVE ANY OTHER GRIEVANCE, YOUR SOLE AND EXCLUSIVE REMEDY SHALL BE THE RIGHT TO DISCONTINUE ACCESS TO AND/OR USE OF THE SERVICES. KLHC’s MAXIMUM AGGREGATE LIABILITY TO YOU FOR DIRECT DAMAGES THAT YOU SUFFER IN CONNECTION WITH THE SERVICES IS LIMITED TO THE GREATER OF (i) FEES, IF ANY, PAID BY YOU TO KLHC FOR THE AFFECTED SERVICE IN THE SIX (6) MONTH PERIOD IMMEDIATELY PRECEDING THE DATE OF THE CLAIM, OR (ii)  ONE HUNDRED DOLLARS (US$100). 

KLHC is hired to provide consulting services for your benefit, but you shall be responsible for using advice and materials from KLHC to reach your desired benefits, goals, and results and accepts any consequences resulting from your choices. KLHC does not make any express or implied warranties or representations whatsoever about the Services and does not guarantee any particular result or outcome of the Services. 

This Terms and Conditions shall be governed by, construed and enforced in accordance with the substantive laws of the State of Illinois, without regard to its conflict of laws principles. The parties further agree that any cause of action arising under this Terms and Conditions shall take place exclusively in the courts situated in Cook County, Illinois and the parties hereby submit to the venue of the courts situated therein. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Subject to the terms and conditions set forth herein, KLHC may, at any time, make changes to the Services and/or modify this Terms and Conditions. If we make changes and/or modifications that affect your access to and/or use of the Services, we will provide notice of such changes by posting the updated Terms and Conditions on the Coaching Platform  and will change the ‘Last Updated’ date listed above.  We may also provide you with additional notice of material modifications and/or updates as appropriate under the circumstances, for example by sending you an email.  Your use of the Services following any changes and/or modifications will constitute your acceptance of such changes and/or modifications.  If you do not agree with the changes and/or modifications, you shall not use the Services after the effective date of the changes.  Please revisit this Terms and Conditions regularly to ensure that you stay informed of any changes.

You may not assign your rights and/or obligations under this Terms and Conditions to any other party without our prior written consent. We may assign our rights and/or obligations under this Terms and Conditions to any other party at our discretion. If any provision and/or term of this Terms and Conditions shall become or be declared illegal, invalid or unenforceable for any reason whatsoever, such term and/or provision shall be divisible from the other terms and conditions and shall be deemed to be deleted from them. If an applicable law is in conflict with any part of this Terms and Conditions, this Terms and Conditions will be deemed modified to conform to the law and the other provisions will not be affected by any such modification. No waiver by either you and/or KLHC of any breach and/or default and/or failure to exercise any right allowed under this Terms and Conditions is a waiver of any preceding and/or subsequent breach and/or default and/or a waiver and/or forfeiture of any similar and/or future rights under this Terms and Conditions.
