Coaching Agreement and Informed Consent This document has two parts:
· Coaching Agreement
· Certificate of Consent
PART I - Coaching Agreement
Parties: This Coaching Agreement is an agreement between Diana D. Williams, Coach, referred to hereafter as “The Coach,” and _____________________________________, hereafter referred to as The Coachee/Client throughout the remainder of this document.
The purpose of this Coaching Agreement is to clearly establish the rights, roles and responsibilities of the Coach, The Coachee/Client, and Sponsor in the event the sponsor is different from the Coachee/Client.
Definitions:
Coaching: Coaching is a partnering relationship that includes a client and a coach in a thought-provoking and creative discovery process that is inspired and motivated by their mutual desire to achieve pre-determined personal, professional, and developmental goals.
Client: The “Coachee/Client is the person being coached.
Sponsor: The “sponsor” is the person or entity who is paying for and/or arranging for the coaching services.
Coach: The Coach is the person who provides the coaching service.
Standards of Conduct:
As a The Coach, I agree to the following Standards of Conduct:
· To communicate honestly while providing Coaching Services and to speak only that which I know or believe to be true;
· To provide all parties associated with Coaching Services with a Coaching Agreement that explains many of the roles, responsibilities, and reasonable expectations associated with various components of the coaching process;
· To accurately identify and represent my coaching qualifications, expertise, experience, training, and certifications associated with my services as The Coach;
· To strive to recognize any personal issues I may have that could hinder, conflict or interfere with my performance as a Coach. In the event of my awareness of any such issue, I will promptly seek relevant professional assistance and determine the appropriate action to take, which may include suspending or terminating my coaching relationship(s);
· To strive continuously and diligently to maintain an awareness of any conflict or potential conflict of interest and be willing to openly disclose any such conflict that may arise.
Services: The coaching services represented by this Coaching Agreement will be provided by The Coach, with specific strategies decided upon by both The Coach and The Coachee/Client. Coaching strategies include but not limited to brainstorming, values and passion identification, strength finder strategies, motivational strategies, and past experiences and evaluations to perform coaching services.
Payment Procedure:
In my role as a Coach, I agree to do my best to accurately and honestly disclose all anticipated compensation associated with Coaching Services to The Coachee/Client and/or Sponsor(s). This disclosure includes any compensation that may arise from third-party referrals.
It is agreed between The Coachee/Client and/or Sponsor, if there is a sponsor, and The Coach, that Coaching Services pursuant to this Coaching Agreement will begin on this ______ day of ______, 2025. The Coachee/client or Sponsor agrees to pay the sum of ______________ dollars for a one (1) hour coaching session. Payments can be paper check or electronic credit/debit card, and due no later than 24 hours prior to the scheduled time of the coaching session.
Scheduling Coaching Sessions: Date, time, and duration of coaching sessions will be scheduled by mutual agreement of The Coachee/Client and The Coach. The parties agree that the schedule can be changed to accommodate the convenience of both parties. The physical location and/or mode of the session will also be decided by both parties at the time of scheduling.
Cancellation: If The Coachee/Client needs to cancel or reschedule a coaching session, notification of cancellation must be given no later than 48 hours prior to scheduled session. If the session has been paid for, the Coachee/Client may request a refund or exercise the option to reschedule the session within 48 hours prior to the scheduled session. Cancellations made less than 48 hours prior to the coaching session can be billed at an agreed upon rate.
Termination: Both The Coachee/Client and The Coach acknowledge and agree that each has the right to terminate the Coaching relationship without any obligation to provide a reason for the termination. The termination should be made no later than 48 hours prior to the scheduled session. Any termination made less than 48 hours prior to a scheduled session can be billed at the agreed upon rate.
Refund Policy: If at the end of one (1) coaching session, the Coachee/Client requests a refund, that refund will be given to the Coachee/Client within 48 hours, using the same payment method that was used for the initial payment to The Coach. Both parties will have the right to terminate the coaching relationship at this point if they desire.
Confidentiality and Privacy: As a Certified Coach, I agree to maintain confidentiality to the best of my ability with respect to all clients and sponsor information and/or communication, unless the release of information is required by law. Legal exceptions that may require the release of information include:
· A situation where there is a reasonable belief that a child’s life is endangered.
· A situation where there is a reasonable belief that an elderly or disabled person may be endangered; or
· A situation where The Coach has a reason to believe The Coachee/Client may be at risk of hurting him or herself.
Record Keeping: As The Coach, I agree to maintain hard copy notes created from Coaching Sessions in a secure and fireproof location.
In the event that electronic technologies are used to record communications between myself as Coach and The Coachee/Client, The Coachee/Client should be aware that it is impossible to guarantee 100% protection of communications transmitted via electronic email, over the Internet, or using mobile devices. Both The Coachee/Client and The Coach agree there is no way to absolutely guarantee the safety of communication using electronic devices. The Coachee/Client therefore agrees to hold The Coach harmless for any leaked communication that may result from the use of such electronic devices.
Mutual Nondisclosure: During communication between The Coachee/Client and The Coach, it is possible that certain proprietary information may be disclosed and/or exchanged on the part of both parties. Both parties therefore agree to refrain from disclosing proprietary information or intellectual property to any third party. Both parties also agree to be bound by this mutual nondisclosure as a part of this agreement throughout the Coaching services, as well as after the coaching relationship has terminated.
Arbitration: In the event of an unresolved dispute arising out of the terms and conditions contained within this Coaching Agreement, both The Coachee/Client and The Coach agree to submit the unresolved matter to an agreed upon and accredited arbitrator for resolution.
PART II – Certificate of Consent
I have read the foregoing information, and I have had the opportunity to ask questions about it. Any questions I have asked have been answered to my satisfaction. I therefore agree to be bound by the terms and conditions of this Coaching Agreement and Informed Consent.
