These Terms & Conditions govern the purchase and use of coaching services offered by Celeste Steele ("Coach," "I," or "me"). By purchasing, booking, or participating in a paid coaching service, you ("Client" or "you") acknowledge that you have reviewed and agree to these Terms.
My goal is for the expectations surrounding our work to be as clear as the work itself. These Terms establish the practical and professional boundaries of our coaching relationship, including payment, scheduling, confidentiality, communication, and the respective responsibilities we each bring to the process.
Coaching is a partnership. These Terms are intended to protect the clarity, dignity, and agency of both people participating in it.
1. Acceptance of Terms & Eligibility
By purchasing or booking a coaching service, you confirm that you are legally able to enter into this agreement and that the information you provide in connection with your booking is accurate to the best of your knowledge.
If a particular coaching offering has additional terms, agreements, acknowledgments, or informed-consent documents, those documents also apply to that service. If a separate signed coaching agreement expressly conflicts with these general Terms & Conditions, the terms of the more specific signed agreement will govern to the extent of that conflict.
2. Coaching Services
The scope, length, format, price, included resources, and any follow-up support associated with a coaching service are described on the applicable sales or booking page at the time of purchase.
Services are generally delivered virtually through the platform or meeting method identified during booking. Unless expressly included in the purchased offering, coaching does not include unlimited email, text, social-media, crisis, or between-session support.
The Transformational Partnership is an ongoing coaching relationship and will be governed by a separate, more comprehensive coaching agreement in addition to any generally applicable website or purchasing terms.
3. Booking & Payment
Payment is due according to the price and payment terms presented at checkout. Unless an offering expressly provides an installment option, payment in full is required at the time of booking.
If installment payments are offered, you authorize the applicable payment processor to charge the payment method on file according to the schedule disclosed at checkout and agree to maintain a valid payment method for the duration of that payment plan.
You are responsible for reviewing the service description, price, and applicable policies before completing your purchase.
4. Cancellation & Rescheduling
Plans change. You may cancel or reschedule an eligible session through your client portal when the change is made at least 24 hours before the scheduled appointment.
A timely reschedule will move the eligible session to another available appointment time. If you timely cancel rather than immediately reschedule, the amount paid for that eligible session may remain available as session credit to be used toward a future eligible session, subject to the terms applicable to the purchased service.
At present, eligible unused session credit for applicable one-off coaching services does not have a stated expiration date. If that policy changes in the future, new expiration terms will apply prospectively as permitted by law and will not retroactively alter previously purchased credit unless otherwise agreed in writing.
If I must cancel a session because of illness, emergency, or another circumstance that prevents me from providing the scheduled service, I will work with you to reschedule within a reasonable timeframe.
5. Refund Policy & Session Credit
ALL SALES ARE FINAL. No refunds will be issued except where required by applicable law.
Where these Terms or the applicable offering permit session credit following a timely cancellation, that credit is not a cash refund and has no cash value. It may be used only as permitted for future coaching services.
A client's decision not to use an eligible session credit does not convert the credit into a right to a refund.
6. Late Cancellations & Missed Sessions
Cancellations made less than 24 hours before the scheduled appointment, and appointments missed without timely notice, are not eligible for an automatic refund, session credit, or rescheduling.
If circumstances prevent you from attending, you may contact me directly to request permission to reschedule. Any exception is considered individually and is granted at my discretion. Granting an exception in one situation does not require me to grant the same or a similar exception in another situation.
Nothing in this section limits any rights that cannot lawfully be waived under applicable law.
7. Client Responsibilities & Agency
Coaching is collaborative. You remain responsible for your own choices, actions, decisions, and outcomes before, during, and after coaching.
You decide what you wish to share and may decline to answer a question, request a pause, or choose not to explore a topic. You are also responsible for communicating when an approach, question, accommodation, or aspect of the coaching process is not serving you.
Any observations, questions, possibilities, resources, or perspectives offered during coaching are for your consideration. You retain full agency in deciding what, if anything, you choose to act upon.
8. Scope of Coaching — Not Therapy or Professional Advice
Coaching is a collaborative, developmental process intended to support reflection, awareness, learning, decision-making, growth, and intentional action. Coaching is not psychotherapy, counseling, crisis intervention, medical care, legal advice, financial advice, or another licensed professional service.
Coaching does not diagnose or treat mental-health or medical conditions and is not a substitute for care from an appropriately qualified professional. You are responsible for seeking licensed or specialized professional assistance when appropriate for your needs.
If concerns arise that appear to fall outside the scope of coaching, we may discuss whether another professional or resource would better support those concerns.
9. No Guarantee of Results
No particular result or outcome from coaching is promised or guaranteed. Personal and professional change depends on many factors beyond the Coach's control, including your circumstances, participation, decisions, actions, and the conditions in which you are operating.
My commitment is to provide coaching with care, curiosity, preparation, professional responsibility, and respect for your agency. That commitment is not a guarantee of any particular personal, professional, financial, relational, health, or other outcome.
10. Confidentiality & Privacy
Confidentiality is an important part of the coaching relationship. For applicable one-off coaching services, you will be asked to review and sign a separate Confidentiality Agreement & Scope Acknowledgment. That agreement describes confidentiality practices, limits to confidentiality, coaching records, recordings, professional consultation, and related matters and is incorporated into the coaching relationship by reference. Where a separate confidentiality or coaching agreement applies, its more specific provisions govern those subjects.
I will take reasonable steps to protect information entrusted to me. However, coaching and related administration may involve third-party technology providers, and no electronic communication or internet-based platform can be guaranteed to be completely secure.
11. Recording, Mentor Review & Professional Consultation
Some sessions may be recorded for professional development, mentor coaching, assessment, or credentialing purposes only with your knowledge and consent. You may decline recording without losing access to the coaching service.
When a recording is authorized for review, it will be shared only with the appropriate mentor coach, assessor, or authorized reviewer for the stated purpose. Recordings will not be used for marketing, promotional, educational, or other unrelated purposes without separate, explicit permission.
I may also consult with a mentor coach, supervisor, or professional peer to strengthen ethical and professional practice. When doing so, I will remove or alter personally identifiable information and share only what is reasonably necessary for consultation, as further described in the applicable confidentiality agreement.
12. Communication & Availability
Administrative communication may occur through email, the client portal, or other methods identified during booking. Response times and availability may vary according to my published business practices and schedule.
Between-session coaching, text support, email coaching, or other ongoing access is not included unless expressly stated in the description of the offering you purchased.
Coaching services do not provide crisis or emergency support. Messages, email, social media, or the client portal should not be used as a substitute for emergency or crisis services.
13. Technology & Third-Party Platforms
Scheduling, payment, electronic signatures, client portals, video meetings, email, forms, and other aspects of the client experience may be provided through third-party services. Those services may have their own privacy policies, terms, availability, and security practices.
I am not responsible for outages, interruptions, data loss, or security failures caused solely by third-party platforms outside my reasonable control. If a technology problem materially interferes with a scheduled coaching session, we will make a reasonable effort to continue through an available alternative or reschedule when appropriate.
14. Accessibility & Accommodations
I want coaching to be as reasonably accessible as possible. You are welcome to request an accommodation or communicate a participation need before booking or at any point in our work together.
You are not required to disclose a diagnosis or provide unnecessary personal medical information in order to request an accommodation. Tell me what would support your participation, and we will discuss what can reasonably be provided.
I cannot guarantee that every requested accommodation will be available. If I am unable to meet a particular need, I will be transparent so you can make an informed decision about whether the service is appropriate for you.
15. Intellectual Property
Original materials created by Celeste Steele, including original worksheets, frameworks, written resources, exercises, graphics, and other proprietary content, remain the intellectual property of Celeste Steele unless expressly stated otherwise.
When original materials are provided to you as part of coaching, you may use them for your own personal, noncommercial purposes. You may not reproduce, publish, sell, distribute, license, teach, adapt for commercial use, or incorporate those materials into your own professional services or products without prior written permission.
Third-party materials, concepts, resources, or intellectual property remain subject to the rights and terms of their respective owners. Nothing in these Terms claims ownership over material that I did not create or do not own.
16. Limitation of Liability
To the fullest extent permitted by applicable law, I will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to the use of coaching services, materials, or third-party platforms.
You acknowledge that coaching involves reflection and decision-making and may at times bring up uncomfortable thoughts, emotions, or uncertainty. You remain responsible for determining what actions are appropriate for your circumstances and for obtaining specialized professional support when needed.
Nothing in these Terms is intended to exclude or limit liability, remedies, or consumer rights that cannot legally be excluded or limited.
17. Termination or Refusal of Service
Either party may decide that continuing a coaching relationship is no longer appropriate. For one-off services, either party may decline to proceed before a session where circumstances make coaching inappropriate, unsafe, or outside scope, subject to the payment and cancellation provisions in these Terms and any rights required by law.
I may end or refuse a coaching relationship when there is abusive, threatening, harassing, discriminatory, unsafe, or persistently disrespectful behavior; material breach of an applicable agreement; nonpayment; misuse of services; or circumstances that make continued coaching inappropriate or outside my professional scope.
For an ongoing Transformational Partnership, termination rights, notice, unused sessions, and related financial terms will be addressed in the separate coaching agreement governing that relationship.
18. Emergencies & Events Outside Either Party's Control
Neither party will be considered in breach of these Terms for a delay or failure to perform caused by circumstances reasonably outside that party's control, such as serious illness, emergency, widespread technology failure, natural disaster, government action, or similar disruptive event.
When such an event affects a scheduled coaching session, both parties will make a reasonable effort to communicate and determine an appropriate next step, which may include rescheduling.
19. Governing Law & Dispute Resolution
These Terms are intended to be governed by the laws of the State of New York, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Before initiating formal legal proceedings, the parties agree to make a good-faith effort to resolve a dispute through direct written communication and reasonable informal negotiation, unless doing so would be inappropriate or a party is entitled to seek immediate relief.
20. Changes to These Terms
I may update these Terms from time to time as the practice, services, technology, or applicable requirements change. The version presented or made available in connection with a purchase will govern that purchase unless a later change is required by law or separately agreed in writing.
Material changes will not be applied retroactively to alter an existing client's substantive rights or financial obligations unless permitted by law and appropriately communicated or agreed.
21. Severability & Entire Agreement
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
These Terms, together with the applicable service description, checkout terms, Confidentiality Agreement & Scope Acknowledgment, and any other signed agreement specifically applicable to the purchased service, constitute the agreement governing that service. A more specific signed agreement controls over these general Terms to the extent of a direct conflict.
22. Electronic Acceptance
Electronic signatures, checkboxes, electronic acknowledgments, and online acceptance may be used to indicate agreement to these Terms and related coaching documents. To the extent permitted by applicable law, electronic acceptance has the same effect as a handwritten signature.
By completing a purchase, signing or electronically accepting the applicable documents, and participating in the coaching service, you acknowledge that you have had an opportunity to review the applicable terms and ask questions before coaching begins.
